1. Agreement to Terms

By accessing or using the Trada platform ("Platform"), website at trada.io ("Website"), or any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you ("User," "you") and Trada Technologies Ltd ("Trada," "we," "us").

2. Description of Services

Trada is a trade copier software platform that enables users to replicate trading strategies across multiple brokerage accounts and trading platforms, and to maintain automated trading journals.

Trada is a technology provider only. We do not operate as a broker, dealer, investment advisor, portfolio manager, prop trading firm, or any form of regulated financial services provider. We do not: execute trades on behalf of users; hold client funds or process payments for trading purposes; manage investments or provide portfolio management; provide investment advice, trading signals, or financial recommendations; or recommend any financial instruments, strategies, or signal providers.

The Platform facilitates the technical replication of trade signals between user-designated accounts. All trading activity occurs on third-party brokerage platforms, and Trada has no control over trade execution, pricing, or outcomes.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By using Trada, you represent that you have the legal capacity to enter into these Terms and that your use of the Services does not violate any applicable law or regulation in your jurisdiction. You are solely responsible for ensuring that your use of trade copier software complies with the terms and conditions of your brokerage accounts and any applicable regulatory requirements.

4. Account Registration and Security

To access certain features, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Trada immediately of any unauthorized access. Trada reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• use the Services to violate any applicable law, regulation, or the terms of any third-party brokerage;
• attempt to gain unauthorized access to any part of the Services or related systems;
• use the Services to engage in market manipulation, fraud, or any deceptive practice;
• reverse engineer, decompile, or disassemble any part of the Platform;
• resell, sublicense, or redistribute the Services without written consent; or
• use automated scripts or bots to access the Services outside of intended functionality.

6. Intellectual Property

All content, software, design, trademarks, and materials associated with Trada are owned by or licensed to Trada Technologies Ltd and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal or internal business purposes. This license does not include the right to modify, distribute, or create derivative works from the Services.

7. Third-Party Services and Integrations

The Platform integrates with third-party brokerage platforms and services. Trada is not responsible for the availability, accuracy, or performance of these third-party services. Your use of third-party platforms is governed by their respective terms and conditions. Trada does not endorse or guarantee any broker, platform, trading strategy, or signal provider accessible through the Services.

8. No Financial Advice

Nothing on the Platform or Website constitutes financial, investment, tax, or legal advice. The information and tools provided are for informational and software utility purposes only. You acknowledge that all trading involves risk, including the potential loss of your entire investment, and that you are solely responsible for your own trading decisions. Trada does not guarantee any trading results, profitability, or performance.

9. Fees and Payment

Certain features of the Services may require payment of subscription fees. All fees are listed on our pricing page and are subject to change. Payments are processed by third-party payment providers. Trada does not store or directly process payment card information. Refund policies, if applicable, are outlined on the pricing page.

10. Limitation of Liability

To the maximum extent permitted by law, Trada and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, trading losses, data loss, or business interruption, arising from your use of or inability to use the Services.

Trada's total cumulative liability shall not exceed the amount you paid for the Services in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Trada does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Trade copier execution depends on third-party platform connectivity, internet conditions, and broker server performance, none of which are within Trada's control.

12. Indemnification

You agree to indemnify, defend, and hold harmless Trada and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• your use of the Services;
• your violation of these Terms;
• your violation of any third-party rights; or
• your trading activity conducted through or facilitated by the Platform.

13. Termination

Trada may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting support. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States of America, state of Delaware. Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with applicable rules. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Modifications

Trada reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
